STANDARD TERMS AND CONDITIONS OF SALE

1. Quotation Validity and Pricing
All quotes are valid for thirty (30) days from the date of issuance unless otherwise noted. Pricing is an estimate based on the preliminary specifications,
artwork, and material availability provided at the time of quoting. We reserve the right to adjust final pricing if actual artwork, structural requirements, or
material costs differ from the original specifications, or if raw material costs (e.g., resins, films, paper) increase prior 2. Production and Quantity Tolerances to production.

Due to the manufacturing processes involved in high-volume printing and converting (including flexible packaging, shrink sleeves, labels, and cartons), all
orders are subject to an over-run or under-run tolerance. Standard orders are subject to a +/- 10% quantity tolerance. For production runs requiring less than
2,500 linear feet, a tolerance of +/- 20% applies. The Customer will be invoiced pro-rata for the exact quantity manufactured and shipped within these
accepted tolerances.

3. Prepress, Tooling, and Plates
Unless explicitly itemized on the quote, pricing does not include the cost of digital prepress work, printing plates, cylinders, rotary dies, or custom tooling. All
physical plates, dies, and tooling remain the property and under the custody of the Seller, even if a preparation or tooling charge has been assessed, to ensure proprietary manufacturing setups are protected.

4. Proofing and Color Matching
Color Tolerances: Pantone (PMS) spot colors and brand colors will be matched to a standard of 3 Delta E (ΔE) under standard D50 lighting conditions. Tighter tolerances must be specified in writing prior to quoting and may incur additional setup fees.
Proofing: Quoted prices assume digital (PDF) proof approval. Press proofs, physical drawdowns, or hard-copy proofs are available upon request for an
additional fee. If the Customer approves a digital proof or waives a physical proof, the Seller assumes no liability for color shifts, substrate interactions, or
layout discrepancies that a physical proof would have revealed.

5. Customer Artwork and Content Indemnification
The Seller is not responsible for errors in Customer-supplied artwork or files. This includes, but is not limited to: typographical errors, undefined or incorrect
colors, missing fonts, incorrect dietary or ingredient information, and regulatory compliance (e.g., FDA, FTC). The Customer assumes full responsibility for the scannability and accuracy of all barcodes and QR codes. Final proof approval releases the Seller from any liability regarding the printed content.

6. Limitation of Liability and Claims
Claims for transit damage or visible shortages must be explicitly noted on the carrier's Bill of Lading (BOL) or delivery receipt at the time of delivery, and
photographic evidence must be submitted to the Seller within 24 hours of receipt. Claims for manufacturing defects or product failure must be made in writing, accompanied by photographic evidence and/or physical samples, within thirty (30) days of receipt of the goods. Failure to provide notice and required documentation within these respective periods constitutes full acceptance of the product. In the event of a verified defect, the Seller’s sole liability shall be limited to the replacement of the defective packaging or a credit for the purchase price of the defective goods. Under no circumstances shall the Seller be liable for consequential, incidental, or special damages, including but not limited to lost profits, machine downtime, filling/co-packing costs, or the cost of the product/contents placed inside the packaging.

7. Storage and Delivery
Unless a specific warehousing agreement is in place, finished goods must be taken into inventory by the Customer upon completion. Orders left at our facility for more than thirty (30) days after the notification of completion may be subject to monthly storage fees or invoiced in full.

Privacy and Confidentiality Statement
CONFIDENTIALITY AND PROPRIETARY INFORMATION: This Quote and any accompanying structural designs, material specifications, dyelines, and pricing
structures contain confidential and proprietary information belonging to the Seller. By accepting and reviewing this Quote, the Customer agrees to hold this
information in strict confidence and shall not disclose, distribute, or use this information to solicit competitive bids from third parties.
DATA PRIVACY: Information collected during the quoting and ordering process will be used strictly for the purpose of fulfilling the business transaction. We do not sell or distribute customer data or intellectual property to outside parties. Customer artwork and structural templates will be securely archived solely for the purpose of facilitating future re-orders and maintaining brand consistency.
